Terms and conditions of service

1. Definitions
Unless otherwise stated below, the following terms shall have the meanings set out here.
- Platform: the website, web app, and any related digital environment named «Choose Your Talent», including tools, features, interfaces, databases, messaging systems, and restricted areas.
- Operator: the entity that provides and administers the Platform; the Operator's company details (company name, registered office, VAT/Tax Code, REA, email and PEC) are being defined and will be communicated before the commercial launch.
- User: any person or entity that accesses or uses the Platform, whether registered or not.
- Client: the User, typically a legal entity or professional, who posts Briefs or project requests and looks for Talents.
- Agency: the User that represents one or more Talents.
- Freelance: the Talent operating on their own and holding a single talent profile.
- Talent: a creative profile present on the Platform, in the modeling, photography, makeup, acting, performance, or other categories.
- Brief: the project request, casting, collaboration request, or service request posted by the Client.
- Booking: the reservation, confirmation, or engagement arranged through the Platform between Client and Talent and/or Agency.
- Subscription: the recurring paid relationship that grants access to one or more Platform features with periodic renewal.
2. Purpose and scope
These Terms and Conditions govern access to and use of the Platform, the features for posting Briefs, applications, bookings, messaging, and any concierge services. The Platform acts as a technological intermediary and not as a party to any contract, engagement, or agreement concluded between the Client and the Talent and/or Agency.
The Operator provides digital tools to facilitate the matching of supply and demand, the organization of interactions, and the operational management of the workflow. Except as expressly provided in these Terms, the Operator does not undertake any obligation of result regarding the conclusion of negotiations, the assignment of an engagement, or the performance of the professional service.
Use of the Platform implies full acceptance of these Terms. Where the User acts as a consumer, the mandatory provisions of Legislative Decree 206/2005 shall apply.
3. Registration requirements and account
To register and use restricted features, the User must be at least 16 years old. Creating or using false, fictitious, unauthorized, or non-existent accounts is prohibited.
The User undertakes to provide truthful, up-to-date, and complete data during registration and throughout use of the Platform. In the event of material changes, the User must promptly update their profile.
Login credentials are personal and non-transferable. The User is responsible for safeguarding them, for all use made of them, and for any activity carried out through the account, unless the User proves unauthorized fraudulent use by third parties not attributable to their own conduct.
The Operator may request additional checks of identity, representation, or declared authority, including for the proper classification of the User as Client, Agency, or Freelance.
4. User roles and related obligations
The Client may post Briefs, review applications, start conversations, request Bookings, and use the management features made available by the Platform. The Client undertakes to use the Platform lawfully, fairly, and consistently with the professional nature of the service.
The Agency may represent one or more Talents, upload their profiles, and interact with Clients on behalf of the represented subjects, within the limits of the actual powers and authorizations granted.
The Freelance manages only one talent profile and acts on their own behalf. The Freelance warrants that they are authorized to present themselves, negotiate, and provide the information included in their profile.
The User is responsible for the accuracy, updating, and lawfulness of the information published, as well as for communications sent through the Platform. The User also warrants that they act in compliance with applicable law, third-party rights, and any authorizations required for images, names, trademarks, works, or materials uploaded.
5. Service operation
The Client may post one or more Briefs, indicating requirements, timing, location, indicative budget, selection method, and any other useful information. Talents and/or Agencies may apply, send materials, propose availability, or express interest.
The Platform may enable Booking management, message exchange, document sharing, and operational support for making contact. The Operator may provide an assisted concierge service, consisting of administrative or operational support for posting, coordination, and onboarding, while remaining outside the contractual relationship between the Users.
Any decision regarding selection, engagement, financial terms, dates, content of the service, and execution details remains within the free determination of the involved Users, who bear full responsibility for it.
6. Subscriptions, fees and payments
Access to certain Platform features may be subject to a recurring paid Subscription. The pricing terms, duration, renewal frequency, functional limits, and any available plans are indicated on the dedicated commercial page or in the order accepted by the User.
Payments are processed through Stripe. The Operator does not directly handle the full card payment data, which is managed under the payment provider's systems and security measures. The User authorizes recurring charges according to the selected plan, unless the Subscription is canceled before the next renewal.
The Subscription renews automatically for the indicated period unless canceled by the User in accordance with the methods made available by the Platform before expiry. Cancellation takes effect from the following period and does not, unless otherwise provided, result in a refund of amounts already paid for the current period.
In the event of non-payment, failed payment, or failed charge, the Operator may suspend or limit access to paid features, request payment, apply interest or other remedies permitted by law, and, in serious or repeated cases, terminate the relationship.
Any invoices will be issued according to the data provided by the User and in accordance with applicable law. The User is responsible for the accuracy of the billing information supplied.
7. User content, images and comp cards
Users may upload to the Platform content such as profiles, biographies, text, photographs, comp cards, promotional materials, and other information relating to Talents. The User represents and warrants that they hold all rights, authorizations, and consents necessary to upload, use, and make such content available through the Platform.
By uploading content, the User grants the Operator a non-exclusive, royalty-free, transferable to the extent technically required by the service, sublicensable to the extent necessary for the operation of the Platform, worldwide license for the duration of the relationship, limited to the display, technical reproduction, storage, publication, communication, and making available of the content for the purposes of service provision, profile promotion, and management of Briefs and Bookings.
Comp cards and images are accessible only according to the visibility, confidentiality, and access rules established by the Platform. The User acknowledges that other authorized Users may view such materials within the scope of the service features.
The User remains solely responsible for the uploaded content and shall indemnify and hold harmless the Operator from any claim by third parties arising from unauthorized, unlawful, or non-compliant use of the materials supplied by the User.
8. Anti-disintermediation
Users are prohibited from bypassing the Platform or evading the intermediation mechanisms made available by the Operator in order to move contacts, negotiations, fees, Bookings, or payments outside the official channels where these arose, developed, or were made possible through the use of the service.
In particular, it is forbidden to use information, contacts, materials, or opportunities known through the Platform to conclude agreements, manage relationships, or make payments outside the Platform where this has the effect of depriving the Operator of its intermediary role and related commercial functionality.
A breach of this prohibition may result, at the Operator's discretion and depending on the seriousness of the case, in immediate account suspension, feature limitation, termination of the relationship, loss of access to paid services, and any other remedy permitted by law, without prejudice to damages.
9. Prohibited conduct
The Platform may not be used for unlawful, fraudulent, or otherwise non-compliant purposes. In particular, Users must not:
- upload offensive, defamatory, discriminatory, obscene, violent, or otherwise unlawful content;
- infringe intellectual property rights, publicity rights, privacy rights, or other third-party rights;
- post false, misleading, or unauthorized information;
- conduct scraping, mass crawling, reverse engineering, unauthorized data mining, or systematic data extraction attempts;
- compromise, attempt to compromise, or bypass the security, integrity, or availability of the Platform;
- introduce malware, malicious code, or tools designed to alter the service's operation;
- impersonate other persons or create multiple or fictitious accounts;
- use the Platform in a manner that violates applicable law, regulations, or third-party rights.
The Operator may remove content, block functions, suspend accounts, and take any measures necessary to protect the security of the Platform and its Users.
10. Intellectual property of the Platform
Except for User-uploaded content, all intellectual and industrial property rights in and to the Platform, software, design, layouts, trademarks, logos, interfaces, texts, databases, workflows, and Operator materials belong to the Operator or its licensors.
Any reproduction, distribution, modification, decompilation, exploitation, or unauthorized use of the above elements is prohibited, except to the extent strictly necessary for normal use of the Platform.
The User acquires no rights in the Platform or its content other than the limited, personal, revocable, non-exclusive right to use the service in accordance with these Terms.
11. Limitation of liability and warranties
The Platform is provided «as is» and «as available», to the extent permitted by law. The Operator does not warrant that the service will be error-free, uninterrupted, secure, or compatible, nor that it will meet any specific User needs.
The Operator shall not be liable for:
- the outcome of applications, negotiations, selections, or Bookings;
- the quality, compliance, correctness, or performance of services rendered by Clients, Agencies, or Freelance Talents;
- statements, omissions, conduct, or breaches by Users;
- damage resulting from improper use of credentials by the User or unauthorized third parties;
- data loss caused by circumstances not attributable to the Operator;
- temporary unavailability of the service due to maintenance, updates, force majeure, or external technical causes.
Nothing in these Terms limits or excludes the Operator's liability where such limitation or exclusion is not permitted by law, including cases of intent or gross negligence where applicable.
12. Suspension and termination
The Operator may suspend, restrict, or close an account, in whole or in part, where it reasonably believes that the User has breached these Terms, the law, third-party rights, or Platform security.
In the event of serious or repeated breaches, including non-payment, disintermediation, unlawful use of the Platform, or provision of false information, the Operator may terminate the relationship with immediate effect, without prejudice to any further remedies available under law.
Suspension or termination shall not affect the Operator's right to payment of amounts accrued or its right to pursue any damages claims.
13. Consumer withdrawal right
If the User acts as a consumer within the meaning of the Consumer Code, they may exercise the right of withdrawal in the cases and to the extent provided by law, subject to applicable exceptions.
The right of withdrawal may be excluded or limited in the cases provided for by Article 59 of the Consumer Code, including fully performed services with the consumer's express consent and acknowledgment of the loss of the withdrawal right, as well as the cases provided for digital content or digital services where the legal conditions are met.
Where withdrawal is available, the consumer User must notify it using the procedure made available by the Platform or by an explicit statement sent to the Operator's contacts. The economic effects provided by applicable law in relation to any services already performed remain applicable.
14. Personal data processing
The processing of Users' personal data takes place in compliance with applicable law and as described in the dedicated notices.
The User acknowledges that use of the Platform involves the processing of personal data necessary for registration, account management, service delivery, support, invoicing, security, and legal compliance. For details, please refer to the Privacy Notice and Cookie Notice available on the Platform.
15. Changes to the terms
The Operator may amend these Terms for technical, organizational, legal, or commercial reasons. Except in urgent cases or where changes are required by law, amendments will be communicated with reasonable prior notice through the Platform or another suitable channel.
Continued use of the Platform after the effective date of the changes constitutes acceptance of the new Terms. If the User does not wish to accept the changes, they must stop using the Platform and, where applicable, deactivate their account.
16. Governing law and jurisdiction
These Terms are governed by Italian law.
Any dispute regarding the validity, interpretation, performance, or termination of these Terms shall be subject to the exclusive jurisdiction of the competent court, which will be indicated before the commercial launch, without prejudice to the mandatory jurisdiction of the consumer's place of residence or domicile, where applicable.
